EQUIPMENT RENTAL AGREEMENT

(Dance Stack Use – Two-Night Mutual Trade, Denver, Colorado)

This Equipment Rental Agreement (“Agreement”) is entered into as of June 24, 2025 (the “Effective Date”) by and between Jacob Lill (“Owner”) and Ploutonion Sound (“Renter”). Owner and Renter are collectively the “Parties.”

1. Equipment Description

Owner shall provide the quadraphonic Funktion-One Dance Stack sound system detailed in Exhibit A – Quote for Funktion-One Quad Dance Stack Rental.

This is a two-night mutual trade agreement with no monetary exchange.

3. Location & Use

  • Venue: To be specified by Ploutonion Sound within Denver area.
  • Equipment shall not be removed without Owner’s written consent.
  • Renter to provide level, weather-protected area, 3 20 amp breakers, and secure environment.

4. Fees & Payment

No monetary exchange shall occur under this Agreement.

  • Owner grants Ploutonion Sound free use of the Funktion-One Dance Stack system for the dates of 06-24-2025 and 06-26-2025.
  • In exchange, Ploutonion Sound agrees to provide the use of their Funktion-One sound system for two nights of Owner’s choosing, to be scheduled by mutual written agreement.
  • Ploutonion Sound will also handle loading the Dance Stack system back into Owner’s bus after the final event.

5. Inspection & Acceptance

Parties will inspect the equipment before and after use; acceptance indicates gear is in good condition except as otherwise documented.

6. Care, Damage & Loss

  • Renter is responsible for any loss or damage (ordinary wear excepted) during use.
  • Only Owner-approved technicians may service equipment.
  • Repair or replacement costs shall be paid within 15 days of notice.

7. Insurance

  • Parties agree to use reasonable care during handling and setup.
  • Insurance is not required for this trade, but strongly encouraged by both Parties.

8. Safety & Compliance

  • All parties agree to follow safety standards and comply with all applicable laws and venue rules.
  • Equipment shall be operated responsibly, and any risk to the public minimized.

9. Default & Remedies

If either Party breaches this Agreement, the non-breaching Party may seek recovery of damages or equitable relief.

10. Governing Law & Venue

This Agreement shall be governed by Colorado law. Any disputes will be resolved in Denver County courts.

11. Entire Agreement

This Agreement represents the full understanding of the Parties and may only be modified in writing with signatures from both Parties.
