This Web Development Services Agreement (“Agreement”) is entered into as of 10.4.23, by and between Jacob Lill, hereafter referred to as “Developer”, and Ready Playa One Camp, herein referred to as “Client”.
- Services
The Developer agrees to develop a wireframe and assist with the creative for the Client’s project as described in the specifications outlined in the proposal, but now focused around just the invite, getting guests excited, and effectively communicating the burning man principals and creating strong community bonds. The wireframe will serve as a schematic or blueprint to outline the structure, layout, and functionality of the Client’s proposed web application.
- Payment Terms
The Client agrees to pay the Developer at a rate of $150.00 per hour for the Services rendered under this Agreement. An upfront fee of $1,500.00 is required to commence the Services, with the remaining balance due upon completion of the wireframe. The total estimated hours to complete the wireframe is 15 hours. However, if the project requires more than 30 hours of work, the Developer will not continue without written approval from the Client.
- Completion Time
The Developer agrees to deliver the completed wireframe to the Client within 4 days (96 hours) following the execution of this Agreement.
- Approval and Revisions
Upon completion of the wireframe, the Developer will provide the Client with the opportunity to review. The Client is entitled to one (1) round of revisions within the scope of the original specifications at no additional cost. Any further revisions or changes in the scope will be subject to additional charges at the agreed hourly rate.
- Intellectual Property
All intellectual property rights in the wireframe developed by the Developer under this Agreement shall be the sole property of the Client. The Developer agrees to sign any additional documents necessary to confirm such ownership to the Client.
- Limitation of Liability
The Developer will not be liable for any indirect, incidental, consequential, special, or exemplary damages or lost profits, even if the Developer has been advised of the possibility of such damages.
- No Guarantee
The Developer does not guarantee that the wireframe will be free from errors or omissions, and the Client acknowledges that the Developer’s obligation under this Agreement is to perform the Services with reasonable skill and care.
- Independent Contractor
The Developer is an independent contractor and not an employee of the Client. Nothing herein shall be construed as creating an employer-employee relationship.
- Confidentiality
The Developer agrees not to disclose any information provided by the Client that is designated as confidential.
- Termination
This Agreement may be terminated by either party upon written notice to the other if one party materially breaches any of its representations, warranties, or obligations under this Agreement.
- Entire Agreement
This Agreement contains the entire understanding of the parties relating to the subject matter and supersedes all previous verbal and written agreements between the parties concerning such subject matter.
