Independent Contractor Sales Agreement

This Agreement is made effective as of 12/11/2024, by and between What a Life Productions, LLC with its principal place of business located at 624 w. Jewell Ave, Denver, Colorado (“Company”), and , (“Contractor”).

Whereas, the Company organizes the “Invisible Intersection” at Texas Eclipse Festival 2024, a unique and transformative experience blending art, technology, and community engagement;

Whereas, the Company seeks to engage the Contractor for the solicitation and acquisition of sponsors and partners for “The Invisible Intersection” in return for a commission;

Now, Therefore, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Scope of Services: The Contractor shall identify, solicit, and secure sponsors and partners for “The Invisible Intersection” in accordance with the Company’s guidelines, targets, and objectives.
2. Term and Termination: This Agreement shall commence on the Effective Date and shall continue until terminated by either party with written notice. Either party may terminate this Agreement for cause immediately upon breach of this Agreement by the other party.
3. Compensation: The Contractor shall receive a commission of ten percent (10%) of the sponsorship deals up to $7,500, (15%) fifteen percent of the sponsorship deals up to $75,000 of and (20%) twenty percent of the sponsorship deals over $75,000. Sponsorship is all partnership revenue directly attributable to the Contractor’s efforts. Commissions shall be paid within thirty (30) days of receipt of the sponsorship or partnership funds by the Company.
4. Independent Contractor Status: The Contractor is engaged as an independent contractor. Nothing herein shall be deemed to create an employer-employee relationship between the Company and the Contractor.
5. Confidentiality: The Contractor agrees to maintain the confidentiality of all proprietary information, trade secrets, and other sensitive information of the Company and its sponsors or partners during the term of this Agreement and thereafter.
6. Compliance with Laws: The Contractor shall comply with all federal, state, and local laws, regulations, and ordinances applicable to the services to be performed under this Agreement.
7. Indemnification: The Contractor agrees to indemnify, defend, and hold harmless the Company and its directors, officers, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in connection with the Contractor’s negligence, willful misconduct, or breach of this Agreement.
8. Entire Agreement: This Agreement contains the entire understanding of the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without giving effect to any choice or conflict of law provision or rule.
10. Amendment and Waiver: No amendment to or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.
