SCOTT BEIBIN STUDIOS + LABS
WEB DESIGN AND DEVELOPMENT AGREEMENT

THIS AGREEMENT is made and entered into as of this date, December 12th, 2023 (the “Effective Date”), by and between Jacob Lill, hereinafter referred to as “Developer”, and Scott Beibin, hereinafter referred to as “Client”.

1. SERVICES

Developer agrees to design and develop a website (the “Website”) for the Client based on the specifications provided by the Client and in accordance with the timeline established in this Agreement.

2. Project Overview

Scott Beibin Studios and Labs encompasses various creative and scientific projects, including Ancient Scan, Lost Film Fest, Bloodlink Records, Ecotech.af, Evil Twin Booking, and several other ventures. The goal is to create a comprehensive online presence that effectively represents the diversity and interconnectivity of these projects.

3. Objectives

• Develop a central hub website, Scott Beibin Studios integrating all projects.
• Implement individual project pages, including AncientScan.io, Ecotech.af, and others.
• Create a user-friendly hidden CMS for easy content updates.
• Integrate IPFS for secure and decentralized data hosting.
• Establish an online store for virtual and physical assets, including NFTs.
• Ensure website compatibility with Web3 technologies.
• Optimize for performance and accessibility across devices and regions.

4. Tasks

• Website Design and Development: Create a visually appealing design reflecting the project’s ethos. Develop a responsive and interactive website.
• Implement a consistent header and navigation system across the site.
• Create a Hidden Management System (CMS): Configure a CMS (preferably WordPress) for content updates. Develop custom tools for updating specific sections like blog posts. Ensure the CMS is user-friendly and accessible to the project team.
• IPFS Integration: Research and implement IPFS for static site hosting. Develop a process for updating the website content on IPFS. Ensure IPFS hosting is current, secure and reliable. Jacob will create a cms that procoduces html of the website for upload to IPFS, additional help may be required to solove automatic host updating. Scott’s Developer friend said he’ll be able to handle everything beyond the HTML files being produced with his code.
• Online Store Development: Set up an external platform for selling virtual assets (NFTs) and physical goods. Integrate payment gateways and cryptocurrency transactions. Ensure the store is easy to navigate and secure.
• Web3 Integration: Ensure the website is ready for Web3 interactions. Incorporate features like wallet connections and metamask for NFT and payments transactions.
• Performance Optimization: Optimize website speed and loading times. Ensure cross-browser compatibility. Implement SEO best practices.
• Maintenance and Security: Regularly update the website for security and performance. Monitor website uptime and resolve any hosting issues. Implement backup and disaster recovery procedures.

5. Deliverables

• A fully functional website for Scott Bybin Studios and Labs.
• CMS access and training for the project team.
• Documentation on IPFS integration and content updating process.
• A secure online store for asset transactions.

6. Timeline

Initial Design and Development: December 10th – December 20th (Dependant of Content from Scott)
Beta Testing and Revisions: December 20th – December 24th
Final Launch: December 25th

Note: This scope of work and timeline is subject to change based on project requirements and feedback. Regular meetings will be scheduled to discuss progress and make necessary adjustments.

7. COMPENSATION

The Client will pay Developer a fee of $6000 with the exact amount to be agreed upon following further discussions and specifications.

The Developer will optionally provide hosting services at the rate of $25 per month or $250 per year.

8. REQUIRED TO START

Upon receipt of all necessary content from the Client, Developer estimates a completion time of approximately two weeks. The exact timeline will be determined following further discussion between the parties.

9. OWNERSHIP

Upon receipt of final payment, ownership rights of the final Website design and development work will be transferred to the Client.

10. MAINTENANCE AND SUPPORT

Developer will provide support and maintenance services at no cost for 90 days. After 90 days a separate agreement or as otherwise agreed upon by the parties.

11. CONFIDENTIALITY

Developer agrees that all material and information provided by the Client is confidential and will not be disclosed to third parties without the Client’s written permission.

This Agreement is subject to the laws of the jurisdiction in which Developer resides.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first above written.
