Booking Agreement

This Booking Agreement (“Agreement”) is made as of 2/27/24, by and between What a Life Productions LLC, with an address at 624 w jewell ave. Denver CO 80223 (“Organizer”), and Xuza Artcar, (“Artist”), collectively referred to as the “Parties.”

Recitals

WHEREAS, the Organizer is conducting the Texas Eclipse Festival (“Festival”) located in Burnet Texas, from April 5 to April 9, 2024;

WHEREAS, the Artist owns and operates the Xuza Artcar, a mobile stage and performance art vehicle;

WHEREAS, the Organizer desires to book the Xuza Artcar as the stage for the “Invisible Intersection,” a gamified web3 stage and immersive area during the Festival, and the Artist agrees to provide such services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:

1. Engagement

The Organizer hereby engages the Artist to provide the Xuza Artcar as the stage for the Invisible Intersection at the Festival, and the Artist hereby accepts such engagement.

2. Performance Period

The Xuza Artcar will be available and operational as the stage for the Invisible Intersection throughout the entire duration of the Festival, from April 5 to April 9, 2024. The Artist shall ensure that the Xuza Artcar is onsite and fully and will have access one week prior to the event start date, which is March 29, 2024.

3. Services

The Invisible Intersection would like to connect the Xuza Artcar’s sound system with the Organizer’s Funktion-One Sound System to ensure massive sound output for the duration of the Festival. The Artist agrees to maintain the operational integrity of the Xuza Artcar and to collaborate with the Organizer’s technical team for sound system integration. Invisible Intersection will provide talent and create run of show, however we welcome collaboration and amazing music, however the ultimate schedule and line-up will be signed off on by organizers. This is to accommodate a variety of activations, vibes, and brands.

4. Compensation

The Organizer agrees to pay the Artist a total sum of $9,800 for the services rendered under this Agreement. Payment will be made in two installments: 50% will be paid as soon as title sponsorship is received (expected within a week of 2/29) and the remaining 50% upon completion of the Festival.

5. Tickets

The Organizer will provide 6 tickets to the Festival for the Artist and the Xuza Artcar team.

6. Insurance and Liability

The Artist shall maintain adequate insurance coverage for the Xuza Artcar and its operations during the Festival. The Artist agrees to indemnify and hold harmless the Organizer, The Texas Eclipse Festival, and all involved parties against any claims arising out of the operation of the Xuza Artcar.

7. Miscellaneous

This Agreement contains the entire understanding of the Parties and may be amended only by written agreement signed by both Parties. This Agreement shall be governed by the laws of Denver Colorado.
